About John

A strategist, not a salesman.

John Vachon, OZ Strategist, is the founder of Covalent OZ — an education and strategy practice for investors, business owners, family offices, developers, and advisors navigating Opportunity Zones and investment strategies.

The name is deliberate. A covalent bond is what holds a diamond together — the strongest bond in chemistry, formed by atoms sharing electrons. Covalent OZ is built on the same principle: entities sharing OZ resources, networks, and knowledge, where every relationship is mutually beneficial. As the son of a chemist and an artist, John brings a rare blend of the analytical and the creative to the work.

The Opportunity Zone ecosystem is small — fewer than 100 experts in the country work in the space at real depth, and John is quickly emerging as a strategist who shows people how to actually do OZs — not just understand them. He co-hosts the Home Field Advantage podcast on place-based capital, advises state and local economic-development organizations on OZ 2.0 designation strategy, and works directly with a tight network of vetted operators across fund setup, tax planning, and compliance. Two decades of leading redevelopment projects, urban revitalization, adaptive reuse, and capital-relationship building means he doesn't just teach OZs — he's in them every day.

His mission here is simple: make OZs approachable. Take the complex and make it simple, take the boring and make it interesting, and show that you don't have to be perfect to start. Remember — every diamond starts as coal.

The Case for OZ

Sold something big? The IRS is already counting.

You don’t have to pay that bill this year or next. In fact, held correctly, you may never pay tax on the growth at all. That’s the Opportunity Zone play — here’s how it works.

01

Defer the tax.

Invest capital gains within 180 days and postpone paying taxes for 5 years (OZ 2.0). All your money keeps working for you.

02

Reduce your tax bill.

Hold for 5+ years and get an automatic 10%+ reduction on your original capital gains tax. Reduce further (or eliminate) with strategic tax mitigation solutions.

03

Kill the taxes on growth.

Hold for 10+ years. Pay ZERO taxes on all appreciation. Eliminated — not deferred. Tax-free profits!

A $1,000,000 capital gain · same 10% return · same 10 years
Opportunity Fund Taxed normally
$1M $2M Defer Reduce Grow + eliminate A B Year 0 Year 5 Year 10
Taxed normally $1.69M
Opportunity Fund $2.36M
Difference +$668K
A Pays tax up front — starts with less.
B Taxed again at exit — finishes with less.

Illustration only. Assumes a 10%/yr return, a 23.8% federal capital-gains rate, and a full 10-year hold. The Opportunity Fund defers tax on the original gain and pays $0 on the new growth. Not tax advice — your numbers depend on your situation.

Defer it. Reduce it. Eliminate it. Then make it count.

Not sure your gain qualifies? That’s the call.

Is This For You?

Built for sophisticated capital.

If you or someone in your network wants to keep more of what you make, is exploring tax mitigation solutions, evaluating OZ business or real estate, or considering legacy-oriented investments — there may be alignment.

I.

Investors & Family Offices

High-net-worth individuals, families, and offices facing capital gain events — selling a business, a real estate exit, a concentrated stock position. The core audience the program was built for.

II.

Business Owners & Developers

Owners weighing an exit and developers structuring projects to attract OZ-eligible capital. Pre-sale planning beats post-sale scrambling — every time.

III.

Professional Advisors

CPAs, attorneys, financial advisors, estate planners, and business and real estate brokers whose clients are facing capital events. A vetted and reliable OZ resource you can bring into the room when the conversation gets technical.

IV.

Communities & Economic Development

State and local economic development organizations can no longer afford to ignore or be reactive to the OZ Program. You must be informed and proactive — designation strategy, policy awareness, project attraction, adaptive reuse and redevelopment of existing building stock, and making your communities investment-ready. The designation window is closing quickly — are you prepared?
